About our board

All office holders of the QPP board are people living with HIV, bringing their lived experience and diverse professional experiences to their roles. Our board also features two Special Interest Representatives open to both people living with HIV, and allies who bring skills, experience, and knowledge to the board from their chosen professional field. The QPP Board’s primary function is governance, leaving the responsibility of the day to day operations of QPP to the CEO and management team.

All Board members are expected to operate according to the Governance Standards as set out by the Australian Charities and Not for Profit Commission. In particular: 

  • to act with reasonable care and diligence
  • to act honestly and fairly in the best interests of the charity and for its charitable purposes
  • not to misuse their position or information they gain as a Responsible Person
  • to disclose conflicts of interest
  • to ensure that the financial affairs of the charity are managed responsibly, and
  • not to allow the charity to operate while it is insolvent.

The Queensland Positive People Inc. Constitution allows for seven positions on the Board of Directors. Elections are held annually at the Annual General Meeting (AGM) with board terms lasting for two years. However, sometimes there may be a vacancy for a board position during a term. In this event the remaining board members may appoint a person to the board for the remainder of the board term.

Eligibility and how to nominate to join our board

To nominate either yourself, or another person for the board of Queensland Positive People Inc, the nominee for the role of:

  • President, Secretary, Treasurer, Regional Representative and Ordinary Member must be an ordinary member of Queensland Positive People.
  • Special Interest Representatives Board Members may be ordinary or associate members of the association.

All nominees must have their nomination endorsed by two current members of Queensland Positive People Inc. If you are nominating someone else, they must certify that they are aware and endorse the nomination.

You can submit an application using the online form below, but a signed copy of the Board Nomination Form and Declaration must be uploaded together with the form. An option is provided, or you can email us the nomination form here.

You may also send the QPP Board President an Expression of Interest to join the QPP Board, if you do not have/know two current QPP members to support your nomination, or if you are unsure on what board position might be vacant or suit you. All Expressions of Interests will be considered, however they do not constitute a formal nomination.

Nominations for the board must be received not less than 38 days before each Annual General Meeting (AGM) is scheduled to occur, members may nominate positions as they fall vacant. Vacant or positions up for renewal are confirmed only at the Annual General Meeting (AGM), with nominations generally called in September.

To be a member of the Queensland Positive People board, all office holders must declare that they meet all eligibility requirements for election to a Management Committee as per Section 61A of the Association Incorporations Act 1981 as set out below:

Eligibility for election to a management committee

(1)  A person is not eligible to be elected as a member of an incorporated association’s management committee if –

  • the person has been convicted –
  • on indictment; or
  • summarily and sentenced to imprisonment, other than in default of payment of a fine; and
  • the rehabilitation period in relation to the conviction has not expired.

(1A)  Also, a person is not eligible to be elected as a member of an incorporated association’s management committee if –

  • under the Bankruptcy Act 1966 (Cwlth) or the law of an external territory or another country, the person is an undischarged bankrupt; or
  • the person has executed a deed of arrangement under the Bankruptcy Act 1966 (Cwlth), or a corresponding law of an external territory or another country and the terms of the deed have not been fully complied with; or
  • the person’s creditors have accepted a composition under the Bankruptcy Act 1966 (Cwlth), or a corresponding law of an external territory or another country and a final payment has not been made under the composition.

(2)  In this section –

rehabilitation period” has the meaning given in the Criminal Law (Rehabilitation of Offenders) Act 1986.

Nominees must also undergo a National Police Check, obtain a Queensland Blue Card, and hold a National Directors ID before being able to be confirmed to the board.
